Our client is a leading international law firm, top-tier one in the market.
Job Responsibilities
- Advise on a wide range of project finance transactions, including large-scale energy, mining, infrastructure, and real estate projects, with a focus on M&A, financing, and development.
- Prepare and negotiate complex legal documents including finance agreements, joint venture agreements, shareholder agreements, and other project-specific documents.
- Provide strategic legal advice on structuring and financing arrangements, including limited-recourse, non-recourse, and syndicated financing.
- Assist with M&A transactions, conducting due diligence, drafting and reviewing transaction documents, and negotiating terms related to acquisitions, divestitures, and joint ventures.
- Manage and coordinate the legal aspects of multi-party transactions, ensuring compliance with local laws and regulations.
- Develop and maintain client relationships, providing expert legal counsel and representing clients in meetings, negotiations, and conferences.
- Support senior team members in transaction closings and guide junior lawyers and associates in legal research, drafting, and document review.
Experience requirements
- PQE: 5-7 years of post-qualification experience in Project Finance, Energy, Mining, Infrastructure, or M&A.
- Proven experience working in project finance and transactional work in major sectors such as energy, mining, real estate, and infrastructure.
- Experience in drafting and negotiating complex legal agreements, including finance agreements, loan agreements, joint venture agreements, and security documents.
- In-depth understanding of financial modeling, structured finance, and non-recourse project financings.
- Familiarity with the power sector, renewables, and infrastructure project structures is highly desirable.
- Client-facing experience with a proven ability to develop and manage relationships with both local and international clients.
- Excellent communication and negotiation skills, with fluency in English (both written and spoken). Proficiency in additional languages is a plus.
- Strong attention to detail and the ability to work under pressure to meet deadlines.
